Sample Creator Grant Agreement

Effective date: 1 September 2026 · Version 0.1

1. Parties and Grant Details

This individual agreement will be made between Fanlify a.s. [corporate details] and [participant name, address, identifier, tax residence and Fanlify account]. Schedule 1 will state the Grant Date, Vesting Commencement Date, verified milestone, exact Award, Share class, value, acquisition price and jurisdictional conditions.

2. Background and documents

The participant has completed qualification and the Company has conditionally approved an Award. Mandatory law, the Articles of Association and corporate resolutions prevail, followed by the Creator Equity Plan, this Agreement, Program Rules and shareholder documents.

3. Conditional Award

The Company grants a conditional right to acquire exactly [●] Shares based on [●] Qualified Paying Subscribers. The Award is subject to vesting, Active Status, payment of the acquisition price and legal completion. It is not current Share ownership and does not guarantee a future Award.

4. Activity and Active Status

During vesting the participant must publish six original video and/or audio posts per month or twenty photo posts. A mix qualifies where (Video + Audio) ÷ 6 + Photos ÷ 20 ≥ 1. Active Status also requires a verified account, good standing, truthful data, compliance, respect for third-party rights and cooperation with verification.

5. Vesting

The Award vests over 24 months from [date] with a three-month cliff. Nothing vests before month three; 3/24 then vests and 1/24 vests monthly thereafter. Fractions are rounded down. Vesting requires Active Status on each date.

6. Share terms and acquisition

Schedule 1 will specify class, form, nominal or accounting value, price, voting and dividend rights and transfer restrictions. To acquire Vested Shares, the participant must submit notice, pay the price, provide legal and tax information and accede to required shareholder documents. Shareholder status starts only after valid acquisition and registration.

7. Suspension

The Company may suspend vesting while investigating fraud, manipulation, infringement, serious rule violations, sanctions or missing verification. Except for urgent, fraudulent or unlawful cases, a remediable breach normally receives written notice and 30 days to cure. Suspended vesting resumes retroactively only if confirmed in writing.

8. Leaving, Cause and Good Leaver

On ordinary departure, Unvested Awards lapse and Vested unexercised Awards normally remain available for 90 days. Cause includes fraud, artificial subscribers, material falsehood, serious or repeated breaches, illegality, infringement or refusal of verification and may cause immediate lapse. Death, permanent incapacity, serious illness or another approved event may receive Good Leaver treatment; a deceased participant’s representative normally has 12 months to exercise Vested Awards.

9. Correction and clawback

The Company may correct data affected by errors, refunds, chargebacks or invalid accounts. Fraudulently obtained Awards may be cancelled and recovery pursued only as permitted by law and binding agreements. Good-faith data correction is not automatically misconduct.

10. Transfer, dilution and change of control

The Award cannot be transferred or pledged. Acquired Shares may be restricted by the Articles and shareholder documents. Future issues may dilute the participant and no anti-dilution protection is implied. A sale or merger does not automatically accelerate vesting; Awards may be continued, replaced, settled or treated under the transaction documents.

11. Taxes and risk acknowledgement

The participant is responsible for independent tax, legal and financial advice. Awards and Shares may create tax and reporting duties. Private Shares may be illiquid and lose all value; no dividend, valuation, financing, sale or listing is guaranteed.

12. Platform, confidentiality and data

The Agreement does not change content ownership or platform licences, guarantee platform access or create employment, agency or partnership. Non-public corporate and cap-table information is confidential, subject to lawful disclosure and professional advice. Personal data may be processed to administer and legally record the Award.

13. Notices, amendments and law

Notices may be delivered electronically where receipt can be shown. Changes must be written, except permitted administrative or legal updates. Czech law governs the Agreement and competent Czech courts have jurisdiction unless mandatory law states otherwise. The approved English version controls, subject to mandatory local law.
